Terms of Service

Welcome to AdPixel ("Company", "we", "our", "us"). These Terms of Service ("Terms") govern your access to and use of adpixel.in (the "Site") and our digital marketing services (collectively, the "Services"). By accessing the Site or engaging our Services, you agree to be bound by these Terms.
1. Scope of Services
AdPixel provides comprehensive digital marketing solutions, including but not limited to search engine optimization (SEO), performance marketing, social media management, content creation, website development, and branding. The specific scope, timelines, deliverables, and fees for any project will be outlined in a formal Statement of Work (SOW) or Service Agreement signed by both parties.
2. Client Responsibilities
To ensure the successful execution of campaigns, clients agree to:
- Provide necessary access to platforms (e.g., Google Analytics, Meta Business Manager, CMS, hosting) in a timely manner.
- Supply requested brand assets, guidelines, and feedback within agreed-upon deadlines.
- Ensure that all materials provided to AdPixel for use in marketing campaigns do not infringe on the intellectual property rights of third parties.
AdPixel is not responsible for campaign delays resulting from a client's failure to provide required assets or approvals.
3. Payment Terms
Payment schedules, upfront deposits, and recurring retainer fees will be explicitly detailed in your Service Agreement. Unless otherwise stated:
- Invoices for recurring monthly retainers are due on the 1st of each calendar month.
- One-time projects (like website builds) typically require a 50% deposit before commencement and 50% upon completion/handover.
- Failure to process payments within 7 days of the due date may result in a temporary suspension of active campaigns and services.
- Third-party ad spend (e.g., Google Ads, Meta Ads) is billed directly to the client's payment method and is strictly separate from AdPixel's agency fees.
4. Intellectual Property
Upon final payment for any service or project, the client holds all ownership rights to the final deliverables (e.g., custom website code, logo design, written copy). AdPixel retains the right to display the completed work in our portfolio, case studies, and marketing materials unless a strict Non-Disclosure Agreement (NDA) has been signed.
5. Limitation of Liability
While AdPixel employs industry best practices and data-driven strategies to achieve maximum ROI, we do not guarantee specific numerical outcomes (e.g., exact sales figures, specific Google rank positions) due to the unpredictable nature of third-party algorithms and market conditions.
In no event shall AdPixel, its directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of our Services.
6. Termination
Either party may terminate a month-to-month retainer agreement by providing a written notice 30 days in advance. Fixed-term contracts (e.g., 6-month commitments) must be honored until the end of the term unless both parties mutually agree to dissolve the contract due to exceptional circumstances.
7. Governing Law
These Terms shall be governed and construed in accordance with the laws of India. Any disputes arising out of or relating to these Terms or the Services provided shall be subject to the exclusive jurisdiction of the courts located in Pune, Maharashtra.
